BOARD OF DIRECTORS
SECTION 1. ELIGIBILITY.
Any ECSU Alumni of the ECSU Viking Varsity Club shall be eligible for election to the Board of Directors. Any member of the Board of Directors (a "Director"), with the Exception of any person appointed to the Initial Board, must have been a member of the ECSU Viking Varsity Club for no less than one fiscal year prior to election or appointment to the Board of Directors.
SECTION 2. MANAGEMENT.
The Board of Directors will provide advice and guidance to ECSU Viking Varsity Club. They will recommend approval of the Strategic plan and monitor its execution, review and recommend approval of an annual budget, review and recommend approval of major policies and actions, including capital expenditures, appoint independent auditors subject to approval by the body, serve as final level of appeal for unresolved matters, have the vested power of the ECSU Viking Varsity Club in the interim between established meetings and seek immediate approval of any actions taken at the next convening meetings of the body.
SECTION 3. BOARD
The Board of Directors shall have a maximum of twenty (20) members, consisting of fifteen (15) voting members, that includes the President, Vice President, Treasurer, Secretary, and Parliamentarian, plus five (5) non-voting ex-officio members, who include the Chancellor or designee, Athletic Director, and three other members appointed by the Chancellor or Athletic Director.
SECTION 4. INITIAL BOARD.
The Initial Board shall consist of five (5) non-voting ex-officio members, who include the Chancellor or designee, Athletic Director, and three other members appointed by the Chancellor or Athletic Director, fifteen (15) members appointed by the Executive Board of the ECSU Viking Varsity Club. All Initial Board Members must meet the eligibility criteria set forth in Article IV Section 1 herein. The terms of the Initial Board members shall be set by random selection as follows; five (5) members shall be appointed for a two-year term, five (5) members shall be appointed for a three-year term, and five (5) members shall be appointed for a four-year term. Each member appointed to the Initial Board shall at the expiration of his/her initial term, be eligible to serve additional terms as set forth in Article IV, Sections 5 and 6 herein.
SECTION 5. TERMS.
Terms: Directors shall be elected to a two-year term and shall be eligible for re-election to the expiration of that term. Directors shall be limited to two consecutive terms, inclusive of any term on the Initial Board. Directors may be re-nominated after having been off the Board of Directors for a minimum of one term.
SECTION 6. VACANCIES.
In the event of any vacancy on the Board of Directors, whether by death, resignation, and an increase in the number of authorized directors, or removed, the remaining Directors may elect a successor to fill such vacancy. Any director so chosen shall hold office for the unexpired portion of the term of the person whom the newly elected director succeeds and until his or her successor shall have been duly elected and qualified. A director chosen to fill a vacancy for the balance of an unexpired term shall be eligible for election as a director for two (2) successive full two (2) year terms upon completion of the unexpired term that he or she was elected to complete.
SECTION 7. ATTENDANCE.
All members of the Board of Directors are required to attend the Semi- Annual Meetings, unless a member is unable to attend due to extenuating circumstances or circumstances beyond the member's control. Under normal circumstances, however, a member must provide notice to the Presiding Chairperson prior to that Semi-Annual Meetings. If a member misses two (2) Semi-Annual Meetings, without providing such notice as prescribed above, that member will face automatic termination of is/her Director's position.
SECTION 8. SEMI-ANNUAL MEETINGS.
The Board of Directors shall meet on a semi annual basis. The date and time of all meetings shall be designated by the President.
Section 9. Special Meetings. Special meetings of the Board of Directors may be called by or at the request of the President or any seven (7) Directors. Notice of any special meeting of the Board of Directors shall be given at least five (5) days prior thereto by written notice from the person or persons calling a special meeting, with such notice being either by personal delivery, or sent by United States mail, or by telegram, teletype, facsimile transmission, email or other form of electronic communication to each director. Any director may waive notice of any meeting.
SECTION 10. REMOVAL.
Any member of the Board of Directors, elected or appointed, may be removed from office when, in the judgment of the Board of Directors, the best interest of the ECSU Viking Varsity Club would be served. Such a removal requires a vote of two-thirds (2/3) of the voting Directors. Any member of the Board of Directors being so removed shall receive notice of removal in writing via certified mail within five (5) business days after his or her removal.
SECTION 11. COMMITTEES.
A. The Standing Committees of the ECSU Viking Varsity Club are the Nominating, Fundraising, Membership and Budget.
B. Other committees will be organized as the Board of Directors deems appropriate in accordance with those objectives, responsibilities, and stipulations set forth herein.
C. The president will be an ex-officio of all committees.
SECTION 12. DUTIES OF THE STANDING COMMITTEES.
A. Nominating Committees will receive recommendations for candidates to serve as ECSU Viking Varsity Club officers and Board of Directors. The committee will prepare verification of the credentials for each candidate and submit their names in nominations.
B. Fundraising Committees will be responsible for organizing fundraising events, sponsorship packages, and pursing other fundraising opportunities.
C. Membership Committees will formulate plans to increase membership for the ECSU Viking Varsity Club.
D. Budget Committees will recommend expenditures to the ECSU Viking Varsity Club prior to the end of its fiscal year.
